Nieuwe episode rond de voorgenomen verkoop van Maxeda. Maxeda geeft obligaties uit (senior secured notes: obligaties) aan institutionele beleggers. 

Volgens een Maxeda-persbericht van 10 juli biedt Maxeda 'notes' (obligaties) met een gezamenlijke waarde van € 475 mln te koop aan aan 'institutionele kopers'. De opbrengst wordt betaald om openstaande schulden (all amounts outstanding under its existing senior credit facilities) mee af te lossen, aldus het persbericht.

Maxeda geeft verder geen inhoudelijk commentaar maar verwijst naar de herfinanciering die Hema doet, als een 'vergelijkbare herfinanciering'.

Amsterdam, the Netherlands, July 10, 2017. Maxeda DIY Holding B.V., a limited liability company organized under the laws of the Netherlands (the “Issuer”), announced today that it intends to offer €475.0 million in aggregate principal amount of senior secured notes in a combination of fixed and floating rate notes due 2022 (the “Notes”), subject to market and other conditions. The Issuer will use the proceeds of the Notes, together with cash on hand, to repay all amounts outstanding under its existing senior credit facilities and to pay certain fees and expenses incurred in connection with the offering of the Notes. The Notes are being offered only to qualified institutional buyers in accordance with Rule 144A under the U.S. Securities Act of 1933, as amended (the “Securities Act”), and outside the United States in accordance with Regulation S under the Securities Act and, if an investor is a resident of a member state of the European Economic Area (the “EEA”), only to an investor that is a qualified investor (within the meaning of Article 2(1)(e) of Directive 2003/71/EC, together with any amendments thereto, including Directive 2010/73/EU, to the extent implemented in the relevant member state (the “Prospectus Directive”)).
